Breach of Contract
To prove a valid, enforceable contract, a party must
establish the following elements: 1. an offer, 2. an
acceptance, 3. mutual assent, 4. delivery of the
contract, and 5. mutual obligations under the
contract. When one party fails to follow the terms or
conditions of a commercial contract, a breach occurs.
